Jakarta, March 2 2023 — PT GoTo Gojek Tokopedia Tbk (“GoTo” or the “Company”), Indonesia’s largest digital ecosystem, successfully concluded its Extraordinary General Meeting of Shareholders (“EGMS”) today. The Management sought and received approval on three agenda items as listed in the EGMS invitation.
The EGMS marked an important step to strengthen GoTo’s continuous commitment to good corporate governance (GCG) as well as its focus on operational efficiency. The new members of the Board of Commissioners and Directors will provide more diverse views, sound stewardship and guidance to GoTo, supporting its broader aim to accelerate its path to profitability.

Our shareholders have approved changes to our Board of Commissioners and Board of Directors, which will further strengthen supervision and management of GoTo, as we embark on the next phase of our journey. These changes were made alongside our other organizational restructuring efforts, which includes the appointment of Presidents to lead each of our business units.”

Shareholders approved several changes to the Company’s Board of Commissioners and Board of Directors, which included:
- Appointment of Agus Dermawan Wintarto Martowardojo as Commissioner;
- Appointment of Sugito Walujo as Commissioner;
- Appointment of Winato Kartono as Commissioner;
- Appointment of Marjorie Tiu Lao as Independent Commissioner;
- Appointment of Nila Marita as Director;
- Appointment of Pablo Malay as Director;
- Resignation of Kevin Bryan Aluwi from his position as Commissioner;
- Resignation of Anthony Wijaya from his position as Director, from which he will transition to a new role as Tokopedia’s Chief Operating Officer.
The Company’s Board of Commissioners and Board Directors will be as follows, effective from the closing of the EGMS 2023.

In the third agenda item, shareholders approved a change to the Company’s articles of association, which no longer requires the Company to publish its financial statements in newspapers aligned with the requirement under OJK Regulation No. 14/POJK.04/2022. The public can continue to access GoTo’s financial disclosures on the Company’s website and through regular disclosures on the Indonesia Stock Exchange’s official website.
New Leadership Structure
Prior to the EGMS, GoTo also announced changes to its leadership structure, which are aimed at enabling greater operational efficiency and unlocking greater synergies as the Company accelerates its path to profitability. The changes include:
- Appointment of three business unit Presidents, namely Melissa Siska Juminto (as President of GoTo’s E-Commerce business unit), Catherine Hindra Sutjahyo (as President of GoTo’s On-Demand Services business unit), and Hans Patuwo (as President of GoTo’s Financial Technology business unit);
- Appointment of William Tanuwijaya as Co-Chairman of the Board of Commissioners, alongside Garibaldi Thohir, who serves as President Commissioner and Co-Chairman;
- Appointment of two new leaders to strengthen GoTo Group’s shared platform efforts, namely Severan Rault and Ramesh Gururaja, who will head the newly-created Technology Office and the Shared Consumer Platform office respectively.
