Jakarta, Indonesia, 30 June 2023 — PT GoTo Gojek Tokopedia Tbk (“GoTo” or the “Company”), Indonesia’s largest digital ecosystem, successfully concluded its Annual General Meeting of Shareholders (“AGMS”) and Extraordinary General Meeting of Shareholders (“EGMS”) today with shareholders approving all agenda items. These include a range of leadership enhancements aimed at strengthening corporate governance and boosting operational efficiency as the Company continues on its path towards profitability.

Koesoemohadiani, GoTo's Corporate Secretary said, "We would like to express our appreciation to shareholders for their continued support in the approval of all agenda items for GoTo’s AGMS and EGMS respectively. GoTo is committed to staying attuned to the concerns of shareholders in our drive to remain the leading provider of on demand, e-commerce, and financial technology services in Indonesia."

All agenda items for the AGMS and EGMS that required approval were approved, including GoTo’s 2022 Annual Report, and ratification of the Consolidated Financial Statements of the Company and its Subsidiaries for the financial year ending December 31, 2022. Shareholders also approved the EGMS agenda item for members of the Company’s Board of Directors to become Series B shareholders.

In relation to the supervision and management of the Company, shareholders also voted on changes to the composition of the Company’s Board of Commissioners and Directors, including:

• Acceptance of the resignation of Mr. Andre Soelistyo from his position as President Director of the Company and appointment of Mr. Soelistyo as a Commissioner, effective as of the closing of the AGMS.
• Acceptance of the transfer of duties and authorities of Mr. Garibaldi Thohir, who was originally the Company’s President Commissioner, to become a Commissioner effective as of the closing of the AGMS, for the term of office as stipulated in the Company's Articles of Association.
• Acceptance of the transfer of duties and authorities of Mr. Agus D. W. Martowardojo, who was originally a Commissioner of the Company, to become the President Commissioner effective as of the closing of the AGMS, for the term of office as stipulated in the Company's Articles of Association.
• Acceptance of the resignation of Mr. Patrick Sugito Walujo as Commissioner and appointment of Mr. Walujo as President Director effective as of the closing of the AGMS, for the term of office as stipulated in the Company's Articles of Association.
• Appointment of Mr. Thomas Kristian Husted as Vice President Director effective as of the closing of the AGMS, for the term of office as stipulated in the Company's Articles of Association.
