Approvals Include Changes to the Boards of Commissioners and Directors and Updates to the Company’s Capital Management Strategy
Jakarta, 18 June 2025 - PT GoTo Gojek Tokopedia Tbk (“GoTo” or “the Company”, IDX: GOTO), the largest digital ecosystem in Indonesia, today successfully concluded its Annual General Meeting of Shareholders (“AGMS”) and Extraordinary General Meeting of Shareholders (“EGMS”) – collectively, the General Meeting of Shareholders (“GMS”) – with all proposed agenda items approved by shareholders.
Approvals included changes to the Boards of Commissioners and Directors, and updates related to the Company’s capital management strategy. These include the proposed use of treasury shares for the Company’s employee and management stock option programs, and a new share buyback program of up to USD 200 million, as previously disclosed by the Company.

Five new members have been appointed to the Board of Directors. All are senior leaders within the GoTo Group, bringing deep expertise and a strong track record of execution across key areas of the business. The new directors and their respective roles are as follows:

In addition, Catherine Hindra Sutjahyo, previously a Director and President of GoTo’s On-Demand Services unit, has been appointed Vice President Director and Deputy CEO, replacing Thomas Husted, in recognition of her significant strategic and operational leadership across the Group. Hans Patuwo has been appointed to a broader role, serving as President of On-Demand Services while continuing as Director and Group Chief Operating Officer. In this capacity, he will also oversee GoTo Financial and spearhead efforts to drive synergies across the organisation.
Approvals were also given for a range of administrative items, including the 2024 Annual Report, 2024 audited consolidated financial statements, 2025 remuneration for the Boards of Directors and Commissioners, appointment of an independent auditor, renewal of share issuance authority under the Stock Ownership Program, and related amendments to the Articles of Association.
