Jakarta, 2nd May, 2025 – PT GoTo Gojek Tokopedia Tbk ("GoTo Group" or the "Company") is today announcing the resignation of members of its Board of Directors and Board of Commissioners.

The Company has received resignations from the following Board members:

• On 30th April, 2025, the Company received resignations from two members of the Board of Directors:
  

• Mr. Thomas Kristian Husted, resigning from his position as Vice President Director - he will continue to focus on supporting GoTo Financial.

• Ms. Nila Marita Indreswari, resigning from her position as Director to pursue personal interests outside of the company.

• On 2nd May, 2025, the Company received resignations from one member of the Board of Commissioners and one member of the Board of Directors:

• Mr. Garibaldi Thohir, resigning from his position as Commissioner to focus on his family business. 

• Mr. Pablo Malay, resigning from his position as Director. Subject to shareholders’ approval at the AGMS, he will be nominated as a Commissioner of the Company.

All resignees will remain in position until their resignations are accepted by shareholders at the Company’s upcoming Annual General Meeting of Shareholders ("AGMS"), details of which will be announced soon. 

Separately, the Company also stated in its public disclosure that subject to the nomination process, the Company will propose the appointment of new members of both the Board of Commissioners and the Board of Directors, including the nomination of an additional Independent Commissioner, at its upcoming AGMS. 

The Company will comply with all applicable procedures in accordance with Financial Services Authority Regulation No. 33/POJK.04/2014 regarding the Board of Directors and Board of Commissioners of Issuers or Public Companies, and Regulation No. 15/POJK.04/2020 regarding the Planning and Organization of the General Meeting of Shareholders of Public Companies.
